Please read these Terms of Service ("Terms") carefully before using the Energy Optima platform ("Service") operated by Energy Optima ("we", "us", or "our").

1. Acceptance of Terms

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

Energy Optima provides a web-based platform for simulating battery energy storage systems, solar PV systems, grid integration, and financial analysis for renewable energy projects. The Service includes:

• Battery degradation modeling using manufacturer data
• Solar PV generation modeling with weather data integration
• Financial analysis tools (NPV, IRR, LCOE)
• Grid integration and tariff modeling
• Report generation and data export capabilities

3. User Accounts

3.1 Registration: To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Free Trial: We may offer a free trial period. At the end of the trial period, your account will become read-only unless you subscribe to a paid plan. No automatic charges will occur—you must actively choose to upgrade.

4. Subscription and Payment

4.1 Pricing: Current pricing for our subscription plans is available on our pricing page. Prices are subject to change with 30 days' notice.

4.2 Payment: Payment is processed through our third-party payment processor (Paddle, our merchant of record). By providing payment information, you authorize us to charge your payment method for the subscription fees.

4.3 Billing: Subscriptions are billed on a monthly or annual basis, as selected by you. Billing occurs on the anniversary of your subscription start date.

4.4 Cancellation and Refunds: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

4.4.1 Refund Policy: You have the right to cancel your subscription and receive a full refund within 14 days of your initial purchase, without giving any reason. To exercise this right, contact us or request a refund through Paddle (our merchant of record). Refunds will be processed within 14 days using the same payment method as the original transaction, with no fees charged. This 14-day refund right applies to the initial subscription purchase only and does not apply to automatic renewals. The right to a refund does not apply where you have already substantially accessed or used the digital content provided under your subscription during the 14-day period.

4.5 Founding Engineer Program: The Founding Engineer discount (30% off) is permanent for the first 50 customers who qualify. This discount remains active for the lifetime of your account, even if you cancel and resubscribe later.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit malicious code or engage in hacking activities
• Attempt to reverse engineer or decompile the Service
• Share your account credentials with others
• Use the Service for purposes competitive to Energy Optima
• Upload unlawful, harmful, or inappropriate content

6. Intellectual Property

6.1 Our Property: The Service, including all software, algorithms, methodologies, databases, and content (excluding user-generated content), is owned by Energy Optima and is protected by intellectual property laws.

6.2 Your Content: You retain ownership of all project data, simulation results, and files you create using the Service. We do not claim ownership of your content.

6.3 License to Us: By using the Service, you grant us a limited license to host, store, and process your content solely to provide the Service to you.

6.4 Feedback: If you provide feedback, suggestions, or ideas about the Service, we may use such feedback without obligation to you.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We collect, use, and protect your data as described in that policy.

8. Disclaimers and Limitations of Liability

8.1 No Warranty: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 Professional Advice: The Service provides simulation and modeling tools. It does not constitute professional engineering, financial, or legal advice. You are responsible for verifying all results and making your own professional judgments.

8.3 Accuracy: While we strive for accuracy in our models and data, we do not guarantee that simulation results will be error-free or match real-world outcomes. Energy systems are complex and subject to variables beyond our control.

8.4 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENERGY OPTIMA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

8.5 Maximum Liability: In no event shall our total liability to you for all damages exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the liability.

9. Indemnification

You agree to indemnify and hold harmless Energy Optima from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

10. Termination

10.1 By You: You may terminate your account at any time by canceling your subscription through your account settings or by contacting us at [email protected].

10.2 By Us: We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include violation of these Terms, fraudulent activity, or extended non-payment.

10.3 Effect of Termination: Upon termination, your right to use the Service will cease immediately. You may request a data export before termination. We may delete your data 30 days after termination.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Energy Optima regarding the use of the Service and supersede all prior agreements and understandings.
